These Terms of Use (“Terms”) govern your access to and use of the Vistavent website at https://vistavent.com and related pages (the “Service”), operated by HXE Vistavent Inc. (“we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who may use the Service

The Service is intended for business and professional users planning events. You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a company, you represent that you have authority to bind that company, and “you” includes that company.

2. What Vistavent provides

Vistavent is a B2B event-services platform that provides information and lead-generation tools to help you request venue and vendor proposals. Through features such as “Plan Your Event,” you may submit event details and contact information so we can help facilitate introductions and quotation plans.

Informational proposals only. Quotes, estimates, availability, pricing, and proposals shown or sent in connection with the Service are informational unless and until confirmed in a separate agreement between you and the relevant venue, vendor, or other third party. We are not a party to those third-party contracts unless we expressly agree in writing.

3. Your responsibilities

You agree to:

  • Provide accurate, current, and complete information in forms and communications.
  • Use the Service only for lawful business purposes related to event planning.
  • Not attempt to disrupt, scrape at abusive scale, reverse engineer, or circumvent security (including bot-protection) of the Service.
  • Not submit unlawful, misleading, infringing, or confidential third-party information you are not authorized to share.
  • Not use the Service to spam, harass, or solicit in ways unrelated to a genuine event planning request.

4. Submissions and communications

If you submit information through the Service (including names, contact details, event requirements, and notes), you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and share that information as needed to operate the Service and fulfill your request — including sharing with venues, vendors, and service providers — as described in our Privacy Policy.

By submitting a request, you agree we (and relevant venues/vendors) may contact you about that request using the channels you provide. Marketing messages, if any, are handled according to the Privacy Policy and applicable law (including opt-in/opt-out rules).

5. Accounts (if offered)

Portions of the site (such as a login or account page) may be previewed before full authentication is available. If we later offer accounts, you are responsible for safeguarding credentials and for activity under your account. We may suspend or terminate access for violation of these Terms or for risk to the Service or other users.

6. Intellectual property

The Service, including its design, text, graphics, logos, and software, is owned by us or our licensors and protected by intellectual property laws. You may use the Service for its intended purpose only. You may not copy, modify, distribute, sell, or create derivative works from our content except with our prior written consent or as allowed by law.

7. Third-party services and links

The Service may link to or integrate third-party sites, venues, vendors, maps, payment tools, or authentication providers. We do not control and are not responsible for third-party content, terms, or privacy practices. Your dealings with third parties are solely between you and them.

8. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT QUOTES OR LISTINGS ARE COMPLETE, CURRENT, OR SUITABLE FOR YOUR NEEDS.

Venue and vendor information may come from third parties. You are responsible for evaluating proposals and entering your own contracts.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HXE VISTAVENT INC. AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (IF ANY) OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

10. Indemnity

You will defend, indemnify, and hold harmless HXE Vistavent Inc. and its affiliates, officers, directors, employees, and agents from and against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your submissions, your violation of these Terms, or your violation of any law or third-party right.

11. Suspension and termination

We may suspend or stop providing the Service (in whole or part) at any time, including if we believe you violated these Terms or create risk for us or others. You may stop using the Service at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive termination.

12. Changes to the Service or Terms

We may update the Service and these Terms from time to time. We will post the revised Terms with an updated “Last updated” date. Material changes may also be highlighted on the Service. Continued use after changes become effective constitutes acceptance of the revised Terms, except where applicable law requires additional notice or consent.

13. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict-of-law principles. Subject to any non-waivable rights you may have under the laws of your place of residence, courts located in the State of Nevada, United States will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.

Before filing a claim, you agree to try to resolve the dispute informally by emailing sean.hu@vistavent.com.

14. General

These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, or sale of assets. Headings are for convenience only.
